A Securities Dealer licence regulated by the Seychelles Financial Services Authority under the Securities Act 2007, allowing the company to trade in securities as principal or agent. The licence may be issued unrestricted, restricted or exempt overseas.

Comprehensive guide to licensing
The Seychelles Financial Services Authority regulates licensing under the Securities Act 2007 and its Regulations. The Dealers in Securities licence may be issued Unrestricted (no restrictions), Restricted (limitations on the number, type or investment value of clients) or Exempt Overseas.
Company structure
- Minimum 2 shareholders (no nationality restrictions for natural persons)
- Minimum 2 resident directors (no nationality restrictions for natural persons)
Taxation
- No tax on income and dividends
- No capital gains and inheritance tax
- No exchange control restrictions
- Standard corporate tax rate of 15% reduced to a net effective rate of 3%
- Free repatriation of profits, dividends and capital
Accounting and audit
- A Securities Dealer must have its accounts audited annually by an auditor
- The applicant must put forward the designated auditor for approval by the Authority at the time of application
- The auditor can be from any jurisdiction provided they meet the criteria of the Act

Authorized Representative
- Every principal applicant (the designated Securities Dealer) must be accompanied by at least one authorized representative who must be an individual
- A director may apply to be an authorized representative provided they meet the fit-and-proper criteria
